PLEASE READ THESE TERMS OF USE (“TERMS”) CAREFULLY BEFORE USING OR ACCESSING THE BIXST INTERFACE, SOFTWARE, INFRASTRUCTURE, OR ASSOCIATED SERVICES (COLLECTIVELY, THE “PLATFORM”).
THESE TERMS CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU (“USER,” “YOU,” OR “YOUR”) AND BIXST LLC, A FLORIDA LIMITED LIABILITY COMPANY (“COMPANY,” “BIXST,” “WE,” “US,” OR “OUR”). BY ACCESSING, CONNECTING A WALLET TO, OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY.
1. NON-CUSTODIAL SOFTWARE INTERFACE ONLY
1.1 Front-End Provider: BIXST is strictly a software provider that publishes a visual graphical user interface. BIXST is not a wallet provider, exchange, broker-dealer, financial institution, custodian, escrow agent, or fiduciary.
1.2 Zero Custody & Private Keys: BIXST never takes custody, possession, title, or control of your Bitcoin (BTC), Stacks (STX), sBTC, or any other digital assets. We do not store, manage, transmit, or have access to your private keys, seed phrases, or wallet passwords. You maintain 100% sole custody and total responsibility over your cryptographic keys and funds at all times.
1.3 Third-Party Smart Contracts & Protocols: The Platform merely displays public data and provides an interface to interact with decentralized, self-executing smart contracts and open-source blockchain protocols (including the Stacks blockchain, Proof-of-Transfer / PoX protocols, and Bitcoin network). BIXST does not own, control, maintain, or audit these underlying protocols, and makes no guarantees regarding their performance, uptime, code integrity, or security.
2. USER ASSUMPTION OF RISK & TOTAL RESPONSIBILITY
2.1 Blockchain & Cryptographic Risks: You explicitly acknowledge and accept all risks inherent in using public blockchain networks, digital assets, and smart contracts. These include, but are not limited to: high volatility, irreversible transactions, software bugs, smart contract exploits, network congestion, forks, MEV front-running, loss of funds, and regulatory changes.
2.2 APY & Reward Estimates: All annual percentage yields (APY), reward values, block estimates, and timing metrics displayed on the Platform are purely informational and derived from historical or third-party blockchain data. BIXST does not guarantee any yield, APY, return, or reward payout. Stacking rewards are subject to protocol mechanics and network conditions beyond BIXST's control.
2.3 User Security Responsibilities: You are solely responsible for keeping your wallet software, hardware, seed phrases, and passwords safe from malware, phishing attacks, unauthorized access, and loss. Transactions executed through your connected wallet are final, non-reversible, and conducted entirely at your own risk.
3. NO FINANCIAL, LEGAL, OR TAX ADVICE
No content, metric, tool, or calculation displayed on the Platform constitutes financial, investment, legal, or tax advice. You should consult your own professional legal, financial, and tax advisors before engaging in blockchain transactions or staking digital assets.
4. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED STRICTLY ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, BIXST DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUSES OR MALICIOUS CODE.
5. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIXST LLC, ITS DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNATIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF DIGITAL ASSETS, COST OF PROCUREMENT OF SUBSTITUTE GOODS, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM;
- ANY BEHAVIOR, BUGS, MALFUNCTION, OR EXPLOIT OF UNDERLYING SMART CONTRACTS, DECENTRALIZED PROTOCOLS, OR WALLET PROVIDERS (E.G., LEATHER);
- UNAUTHORIZED ACCESS, ALTERATION, OR INABILITY TO TRANSMIT TRANSACTIONS FROM YOUR CONNECTED WALLET;
- ACCURACY, ERRORS, OR OMISSIONS IN ANY DYNAMIC PRICE OR APY DATA DISPLAYED ON THE PLATFORM.
6. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless BIXST LLC, its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, judgments, losses, expenses, or costs (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, your use of the Platform, or your violation of any law or the rights of any third party.
7. GOVERNING LAW & JURISDICTION
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Florida, USA, without giving effect to any conflict of law principles. You irrevocably agree that the state and federal courts located in Miami-Dade County, Florida shall have exclusive jurisdiction to settle any dispute or claim arising out of these Terms.
8. MODIFICATIONS TO TERMS & PLATFORM
BIXST reserves the right to modify, update, or replace these Terms or alter the Platform functionality at any time at our sole discretion.
